LEGAL MUNSHI LLP – MASTER TERMS & CONDITIONS (COMBINED POLICY)

1. INTRODUCTION & APPLICABILITY

1.1
These Master Terms and Conditions (“Terms”, “Agreement”, “Policy”) govern the entire legal and operational framework under which Legal Munshi LLP, a Limited Liability Partnership registered in India (“Company”, “LLP”, “We”, “Our”, “Us”), engages, interacts, or collaborates with:
(a) Employees and staff members (“Employee”, “Staff”, “Team”),
(b) Franchisees, channel partners, associates, or independent service providers (“Franchisee”, “Partner”),
(c) Clients, customers, applicants, end users, or service recipients (“Client”, “User”), and
(d) Any third party interacting directly or indirectly with the Company.

1.2
These Terms constitute a legally binding contract. Any form of engagement, onboarding, partnership, employment, communication, use of services, payment, or access to Company systems or documents constitutes full acceptance of these Terms.

1.3
The Company reserves the full right to amend, modify, alter, update, or replace these Terms at any time, without prior notice. All parties agree that continuing association after such updates constitutes automatic acceptance.

2. DEFINITIONS

For the purpose of this Agreement:

• 2.1 “Company” refers to Legal Munshi LLP and all its divisions, sister concerns, platforms, brands, or associated service modules.
• 2.2 “Employee” refers to any individual hired on a full-time, part-time, contract, internship, probation, or consultancy basis.
• 2.3 “Franchisee” or “Partner” means an independent associate who purchases services, works on behalf of clients, markets offerings, or promotes the brand under permitted usage rights.
• 2.4 “Client” means any person/entity purchasing or attempting to purchase Company services.
• 2.5 “Services” include all legal documentation assistance, compliance support, consultancy, application preparation, online/offline processes, backend form filling, and related activities.
• 2.6 “Government Authorities” include all ministries, departments, universities, boards, embassies, courts, or statutory bodies.
• 2.7 “Third Party” refers to external agencies, vendors, courier partners, digital platforms, payment gateways, and others not controlled by the Company.
• 2.8 “Confidential Information” includes client data, internal documents, operational methods, software, systems, processes, pricing, forms, training materials, and all proprietary information.

3. GENERAL LIABILITY DISCLAIMER (APPLICABLE TO ALL)

• 3.1
  Legal Munshi LLP provides support and consultancy services only and does not represent any government, university, embassy, or statutory authority. All final decisions are made solely by third-party authorities, not by the Company.
• 3.2
  The Company shall have zero liability for delays, rejections, objections, miscommunications, or decisions made by any external authority.
• 3.3
  All parties acknowledge that the Company’s role is limited to documentation assistance, process support, submission where applicable, and guidance.
• 3.4
  The Company shall not be liable for any:
  • Loss of business, income, profit, or goodwill
  • Delay in processing or outcome
  • Technical/system failures
  • Mistakes arising from incorrect/incomplete information
  • Actions, omissions, or negligence of employees or franchisees
  • Misuse of brand or misrepresentation by third parties
  • Acts of fraud, impersonation, or forged documents submitted by any party
  • Courier delays or loss of documents by delivery partners
• 3.5
  In all scenarios, the maximum aggregate liability of the Company shall not exceed the total fee paid directly to the Company for that specific service, and in no case shall the Company be liable for consequential damages.

4. TERMS APPLICABLE TO EMPLOYEES

4.1 Nature of Employment

• 4.1.1
  Employment with Legal Munshi LLP is purely professional and contractual, governed strictly by Company policies.
• 4.1.2
  The Company reserves the power to:
  • Modify job descriptions
  • Change reporting structures
  • Transfer departments
  • Demand additional responsibilities
  • Issue disciplinary notices
  at any time, without needing employee consent.

4.2 Employee Responsibilities

• 4.2.1
  Employees must maintain accuracy, professionalism, and confidentiality while handling client documents.
• 4.2.2
  Employees must follow deadlines, work ethics, data security policies, office rules, and all written and verbal instructions issued by management.
• 4.2.3
  Employees shall not share Company information through WhatsApp, phone, email, cloud, or any medium without explicit written permission.

4.3 Liability of Employee

• 4.3.1
  The Company is not liable for employee errors, negligence, unauthorized promises to clients, delay in completing work, or misrepresentation.
  Employees shall be individually liable for losses arising from:
  • Wrong submission
  • Mishandling of files
  • Data leakage
  • Breach of confidentiality
  • Fraud or illegal activity
• 4.3.2
  Any financial or reputational loss caused by an employee may be recovered from the employee’s dues or through legal action.

4.4 Termination
The Company may terminate employment with or without notice under the following conditions:
• Poor performance
• Misconduct
• Absenteeism
• Data breach
• Complaints from clients or partners
• Violation of confidentiality
• Any act against Company interests

4.5 Post-Employment Restrictions
Employees may not:
• Use Company contacts, processes, or data
• Provide similar services independently for 1 year
• Disclose internal functioning
• Create competing products using Company knowledge
Violation may lead to legal action.

5. TERMS FOR FRANCHISEES / PARTNERS

5.1 Independent Relationship

• 5.1.1
  A Franchisee is an independent entity, not an employee, agent, or legal representative of the Company.
• 5.1.2
  They cannot bind the Company in contracts, guarantees, promises, or commitments.
• 5.1.3
  Franchisees operate at their own financial and operational risk.

5.2 Responsibilities
Franchisee must:
• Ensure documents submitted by clients are genuine
• Verify KYC before submission
• Follow Company SOPs
• Use brand assets properly
• Maintain accurate records
• Handle client communication professionally

5.3 Prohibited Actions
Franchisees shall not:
• Misuse the brand name
• Provide false promises (guaranteed approval, fast approval, etc.)
• Collect unauthorized extra charges in the Company’s name
• Modify documents
• Act as a government representative

5.4 Fees & Refund Policy

• 5.4.1
  All franchise fees, onboarding fees, renewal fees, and plans are 100% non-refundable, irrespective of performance or usage.

5.5 Company Non-Liability for Franchisee Actions
Legal Munshi LLP is not responsible for:
• Client disputes created by Franchisee
• Mistakes in documentation
• Delays in submissions
• Wrong commitments
• Revenue loss or business loss to franchisee
• Legal actions arising from franchisee’s misrepresentation

5.6 Termination
The Company may immediately terminate the franchise rights if:
• Fraud or misrepresentation is detected
• Wrong commitments are made in the Company’s name
• Brand guidelines are violated
• Repeated complaints are received
• Confidential information is leaked
Termination will not affect the Company’s right to recover damages.

6. TERMS FOR CLIENTS / CUSTOMERS

6.1 Service Nature

• 6.1.1
  Legal Munshi LLP is a private consultancy.
  We do not represent any government body.
• 6.1.2
  All approvals, verifications, apostilles, embassy decisions, and certifications are subject to Government or authority discretion.

6.2 Client Responsibilities
The Client must:
• Provide accurate and original documents
• Submit valid KYC
• Pay service fees upfront
• Respond promptly to calls/messages
• Review drafts before final submission
• Attend appointments as required

6.3 Service Fees & Refund Policy

• 6.3.1
  All payments made to the Company are strictly non-refundable, including but not limited to:
  • Application fees
  • Documentation fees
  • Processing charges
  • Follow-up fees
  • Service subscription(s)
  • Consultancy fees
• 6.3.2
  Refunds shall not be issued due to delays, rejection, system errors, or client decision change.

6.4 Timelines
Estimated timelines are for reference only. Actual processing varies based on:
• Government workload
• Technical issues
• Public holidays
• Verification delays
• Third-party system response
The Company is not liable for such delays.

6.5 Outcome Disclaimer
The Company does not guarantee:
• Application approval
• Timeline commitments
• Embassy clearance
• University or board verification
• Certificate issuance
Final decision authority is always external.

7. CONFIDENTIALITY & DATA PROTECTION

• 7.1
  All confidential information remains the sole property of the Company.
• 7.2
  Unauthorized sharing of data, screenshots, client details, pricing, training material, or internal processes is strictly prohibited.
• 7.3
  Breaches may lead to:
  • Termination
  • Legal action
  • Criminal proceedings (as applicable)

8. INTELLECTUAL PROPERTY

• 8.1
  All brand names, logos, website content, designs, documents, training videos, and forms belong exclusively to Legal Munshi LLP.
• 8.2
  No party may reproduce, copy, publish, resell, or distribute such content without written approval.

9. LIMITATION OF LIABILITY

• 9.1
  Under no circumstances shall Legal Munshi LLP be liable for:
  • Loss of profit
  • Loss of business opportunity
  • Emotional distress
  • Business interruption
  • Internal errors made by partner/employee
  • Misconduct by franchisee
  • Courier delays or damage
  • Rejection by authorities
• 9.2
  The Company’s maximum liability is limited to the amount of fee paid directly to the Company ONLY.

10. INDEMNIFICATION

All Employees, Franchisees, and Clients agree to indemnify and hold harmless the Company from any claim, penalty, damage, loss, or legal expense arising from:
• Their own negligence
• Wrong submissions
• Illegal activity
• Data breach
• Fraudulent documents
• Misrepresentation

11. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of India.
All disputes shall fall exclusively under the jurisdiction of courts in Gwalior, Madhya Pradesh.

12. ACCEPTANCE

By engaging with Legal Munshi LLP in any form, all parties confirm full understanding and unconditional acceptance of these Terms and Conditions.
