LEGAL MUNSHI LLP – MASTER TERMS & CONDITIONS (COMBINED POLICY)

(Employees • Franchisees/Partners • Clients • Third Parties)

1. INTRODUCTION & APPLICABILITY

1.1
These Master Terms and Conditions (“Terms”, “Agreement”, “Policy”) govern the entire legal and operational framework under which Legal Munshi LLP, a Limited Liability Partnership registered in India (“Company”, “LLP”, “We”, “Our”, “Us”), engages, interacts, or collaborates with:
(a) Employees and staff members (“Employee”, “Staff”, “Team”),
(b) Franchisees, channel partners, associates, or independent service providers (“Franchisee”, “Partner”),
(c) Clients, customers, applicants, end users, or service recipients (“Client”, “User”), and
(d) Any third party interacting directly or indirectly with the Company.

1.2
These Terms constitute a legally binding contract. Any form of engagement, onboarding, partnership, employment, communication, use of services, payment, or access to Company systems or documents constitutes full acceptance of these Terms.

1.3
The Company reserves the full right to amend, modify, alter, update, or replace these Terms at any time, without prior notice. All parties agree that continuing association after such updates constitutes automatic acceptance.

The Company may terminate employment with or without notice under the following conditions:
• Poor performance
• Misconduct
• Absenteeism
• Data breach
• Complaints from clients or partners
• Violation of confidentiality
• Any act against Company interests

4.5 Post-Employment Restrictions
Employees may not:
• Use Company contacts, processes, or data
• Provide similar services independently for 1 year
• Disclose internal functioning
• Create competing products using Company knowledge
Violation may lead to legal action.

5. TERMS FOR FRANCHISEES / PARTNERS

5.1 Independent Relationship

5.2 Responsibilities
Franchisee must:
• Ensure documents submitted by clients are genuine
• Verify KYC before submission
• Follow Company SOPs
• Use brand assets properly
• Maintain accurate records
• Handle client communication professionally

5.3 Prohibited Actions
Franchisees shall not:
• Misuse the brand name
• Provide false promises (guaranteed approval, fast approval, etc.)
• Collect unauthorized extra charges in the Company’s name
• Modify documents
• Act as a government representative

5.4 Fees & Refund Policy

5.5 Company Non-Liability for Franchisee Actions
Legal Munshi LLP is not responsible for:
• Client disputes created by Franchisee
• Mistakes in documentation
• Delays in submissions
• Wrong commitments
• Revenue loss or business loss to franchisee
• Legal actions arising from franchisee’s misrepresentation

5.6 Termination
The Company may immediately terminate the franchise rights if:
• Fraud or misrepresentation is detected
• Wrong commitments are made in the Company’s name
• Brand guidelines are violated
• Repeated complaints are received
• Confidential information is leaked
Termination will not affect the Company’s right to recover damages.

6. TERMS FOR CLIENTS / CUSTOMERS

6.1 Service Nature

6.2 Client Responsibilities
The Client must:
• Provide accurate and original documents
• Submit valid KYC
• Pay service fees upfront
• Respond promptly to calls/messages
• Review drafts before final submission
• Attend appointments as required

6.3 Service Fees & Refund Policy

6.4 Timelines
Estimated timelines are for reference only. Actual processing varies based on:
• Government workload
• Technical issues
• Public holidays
• Verification delays
• Third-party system response
The Company is not liable for such delays.

6.5 Outcome Disclaimer
The Company does not guarantee:
• Application approval
• Timeline commitments
• Embassy clearance
• University or board verification
• Certificate issuance
Final decision authority is always external.

All Employees, Franchisees, and Clients agree to indemnify and hold harmless the Company from any claim, penalty, damage, loss, or legal expense arising from:
• Their own negligence
• Wrong submissions
• Illegal activity
• Data breach
• Fraudulent documents
• Misrepresentation

11. GOVERNING LAW & JURISDICTION

These Terms shall be governed by and interpreted in accordance with the laws of India.
All disputes shall fall exclusively under the jurisdiction of courts in Gwalior, Madhya Pradesh.

12. ACCEPTANCE

By engaging with Legal Munshi LLP in any form, all parties confirm full understanding and unconditional acceptance of these Terms and Conditions.
